Terms of Service

1. Definitions and Scope
Coderr Studio ("Coderr Studio") acts as contractor. The party entering into an agreement with Coderr Studio is the client. These Terms of Service apply to every offer, assignment, and agreement unless parties agree otherwise in writing.
2. Proposals and Acceptance
Quotations are non-binding and valid for 30 days unless stated otherwise. An agreement comes into effect when the client confirms the quotation in writing or when Coderr Studio starts work at the client’s request. Quotations rely on information supplied by the client, who warrants that such information is correct and complete.
3. Cooperation Obligations
The client provides timely feedback, decisions, access to systems, logins, and other materials required to execute the assignment. Delays arising from missing input may impact agreed timelines. Extra costs caused by late cooperation can be charged to the client.
4. Execution and Third Parties
Coderr Studio performs assignments with due care and may engage specialised third parties when necessary. Coderr Studio remains responsible for coordinating such parties. Third-party expenses will be passed on to the client after consultation.
5. Delivery and Acceptance
Interim deliverables are deemed accepted if the client does not raise material objections within ten (10) calendar days after delivery. Minor deviations that do not materially affect functionality do not constitute grounds for rejection. After acceptance, maintenance and adjustments fall under separate support agreements or change requests.
6. Change Requests and Additional Work
Changes requested after acceptance of the proposal are recorded in a written change request. Coderr Studio will inform the client about the impact on scope, planning, and budget before additional work commences. Reducing scope does not automatically lower the agreed fee unless parties agree otherwise.
7. Fees and Payment
All prices are exclusive of VAT and other levies. Coderr Studio invoices monthly in arrears or according to agreed milestones. Invoices are payable within fourteen (14) calendar days. Late payment entitles Coderr Studio to suspend work, charge statutory commercial interest, and recover reasonable collection costs.
A deposit is due before work commences: 10% of the quoted amount for assignments below €1,500 (ex. VAT) and 30% for assignments of €1,500 or higher. Coderr Studio may defer scheduling until the deposit has been received.
8. Third-Party Services and Tools
When assignments require third-party services (such as hosting, SaaS licences, or advertising platforms), the client is responsible for the related licence or usage costs unless agreed otherwise. Third-party conditions apply in addition to these terms.
9. Intellectual Property and Licence
Coderr Studio remains the legal owner of all intellectual property rights in the delivered work, including code, designs, and documentation, unless the parties explicitly agree otherwise in writing. Upon full payment, the client receives a non-exclusive licence to use the deliverables for the agreed purposes. Pre-existing frameworks, components, and know-how continue to belong to Coderr Studio or its licensors. Coderr Studio may showcase non-confidential portions of the work in its portfolio unless the parties agree otherwise in writing.
10. Confidentiality and Data Protection
Both parties keep confidential information secret and use it solely to carry out the assignment. Coderr Studio processes personal data in accordance with applicable privacy legislation and the Coderr Studio Privacy Policy.
11. Liability and Warranties
Coderr Studio warrants that deliverables materially conform to the agreed specifications upon handover. Liability for direct damage is limited to the fee invoiced and paid for the phase that caused the damage. Coderr Studio is not liable for consequential or indirect losses, including lost profit or business interruption.
12. Force Majeure and Suspension
If a party cannot meet its obligations due to force majeure (including but not limited to network outages, strikes, pandemics, or governmental action) obligations are suspended. If the force majeure persists longer than sixty (60) days, each party may terminate the agreement without being liable for damages.
13. Term and Termination
Either party may terminate the agreement with fourteen (14) calendar days’ written notice. The client owes payment for all work performed and expenses incurred up to the termination date. Coderr Studio may terminate immediately if the client fails to meet payment obligations or is granted suspension of payments or liquidation.
14. Governing Law and Disputes
Dutch law applies to these terms and to all agreements between Coderr Studio and the client. Disputes are submitted to the competent court in Amsterdam unless parties agree to mediation or arbitration.
